1. Introduction

Welcome to Vipilink LLC ("Vipilink," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our cloud-based services ("Services"). By using our Services, you agree to these Terms.

2. Billing & Payment Terms

  • Vipilink operates on a subscription basis with monthly or annual payment options.

  • Payments are due at the beginning of each billing cycle and will be automatically renewed unless canceled
    before the renewal date.

  • Failure to pay within 15 days of the due date may result in suspension or termination of service.

  • Prices may be adjusted at renewal, with prior notice to the customer.

  • Taxes and fees are the responsibility of the customer and will be added to invoices where applicable.

3. Refund Policy

  • No refunds are offered for any subscription payments.

  • 14-day free trials are available for new customers to evaluate the service.

  • If a subscription is canceled, access continues until the end of the current billing cycle, but no pro-rata refunds
    are provided.

  • Refunds do not apply to accounts terminated due to violation of these Terms.

4. User Responsibilities & Prohibited Activities

  • Users must comply with all applicable laws when using our Services.

  • Prohibited activities include but are not limited to:

    • Using the service for illegal activities, hacking, or fraud.

    • Sharing accounts with unauthorized individuals.

    • Attempting to reverse-engineer or modify the service.

    • Reselling or sublicensing the service without permission.

  • Violation of these rules may lead to immediate account suspension or termination.

5. Service Availability & Support

  • Vipilink commits to 99% uptime for its Services.

  • In the event of service downtime below the guaranteed level, users will receive 5 additional days of service for
    their plan.

  • Scheduled maintenance notices will be provided at least 2 days in advance.

  • Technical support is available via email and phone.

6. Termination Policy

  • Customers may cancel their subscription at any time via their account dashboard.

  • The cancellation will take effect at the end of the current billing cycle.

  • Vipilink may terminate service with 30 days' notice or immediately for cause (e.g., non-payment, breach of
    terms).

  • Upon termination, customer data will be deleted or anonymized within a commercially reasonable period, except
    where retention is required by law.

7. Liability Limitations & Dispute Resolution

  • The Services are provided "as is" without warranties of any kind.

  • Vipilink is not liable for indirect, incidental, or consequential damages, including data loss or business
    interruptions.

  • Our liability is limited to the total fees paid in the past 12 months of service use.

  • This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA,
    without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in the State of Delaware, and each party consents to the jurisdiction of such courts and waives any objections to venue or inconvenient forum.

  • Customers waive the right to participate in class actions against Vipilink.

8. Changes to Terms

  • Vipilink may update these Terms from time to time.

  • Material changes will be notified via email or our website.

  • Continued use of the Services after an update constitutes acceptance of the new Terms.
